This End User License Agreement ("Agreement") is a binding legal agreement between you ("User," "you") and LETS TIPIT LTD. , a company registered in the United Kingdom ("Company," "Licensor," "we," "us"). This Agreement governs your use of the mobile application known as "Lets tipit" (the "App").

By downloading, accessing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the App.

Subject to your compliance with this Agreement, LETS TIPIT LTD. grants you a limited, non-exclusive, non-transferable, revocable license to:

(a) download, install, and use the App on Apple-branded devices (iPhone, iPad, etc.) that you own or control; and

(b) access and use the App strictly in accordance with the Usage Rules set forth by Apple Inc. and the terms herein.

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time. All rights not expressly granted to you are reserved by LETS TIPIT LTD.

The App, including its code, design, graphics, and content, is owned by LETS TIPIT LTD. and is protected by United Kingdom copyright laws and international treaties.

You may not:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.

Modify, adapt, or create derivative works of the App.

Remove any proprietary notices or labels on the App.

Use the App for any unlawful purpose or to violate the rights of others.

(a) User Content: If the App allows you to post, upload, or transmit content (such as reviews, photos, or messages), you retain ownership of that content. However, you grant LETS TIPIT LTD. a worldwide, royalty-free license to host, store, and display that content solely to provide the App’s services.

(b) Responsibility: You are solely responsible for the content you submit. You warrant that you own the content or have the right to grant the license above. You may not submit content that is defamatory, obscene, infringing on intellectual property, or violates applicable laws.

(c) Virtual Items: If the App utilizes virtual currency or virtual goods (e.g., "tips," "credits"), such items have no monetary value outside the App. You do not own such items; you have a license to use them within the App. Any balance of virtual items in your account does not constitute a real-world balance or refundable currency.

(a) Consent to Data Use: You agree that LETS TIPIT LTD. may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—to facilitate the provision of software updates, product support, and other services to you related to the App. We will only use this information in a form that does not personally identify you to improve our products or services.

(b) Privacy: Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into this Agreement by reference. If you are located in the UK or Europe, we comply with the UK GDPR and EU GDPR.

(c) Payments: All financial transactions within the App are processed by Apple Inc. via your Apple ID. LETS TIPIT LTD. does not directly process payment card details. Refunds for any purchase made within the App are subject to Apple’s refund policy, not ours.

This Agreement is effective until terminated by you or LETS TIPIT LTD.

You may terminate this Agreement by deleting the App from your devices.

Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms.

Upon termination, you must cease all use of the App and delete it from your devices.

The App may display or link to third-party services or websites ("External Services"). You agree to use External Services at your sole risk. LETS TIPIT LTD. is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for any such third-party services.

UK Consumer Notice: If you are a consumer (using the App for personal purposes), the law of England and Wales provides you with certain statutory rights. Nothing in this Agreement is intended to affect those rights.

General Warranty Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) THE APP IS PROVIDED "AS IS" AND “AS AVAILABLE,” WITH ALL FAULTS.

(b) LETS TIPIT LTD. HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

(c) LETS TIPIT LTD. DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

(d) NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LETS TIPIT LTD. SHALL CREATE A WARRANTY.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LETS TIPIT LTD. BE LIABLE FOR PERSONAL INJURY, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY.

UK Specific: Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

You may not use or otherwise export or re-export the App except as authorized by United Kingdom law and the laws of the jurisdiction in which the App was obtained. You represent and warrant that you are not located in any country subject to UK or US embargo.

This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.

If you are a consumer: You may bring a claim in the courts of England and Wales. If you reside in another country (particularly the EU), you may also bring proceedings in your local courts pursuant to applicable consumer protection laws.

If you are a business: You irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to this Agreement.
